These Terms of Service (“Terms”) govern your access to and use of the learning management system, courses, content, templates, tools, and related services (collectively, the “LMS”) provided by Duwel Dev, LLC (“Company,” “we,” “us,” or “our”). By accessing or using the LMS, you agree to be bound by these Terms. If you do not agree, you must not access or use the LMS.
You must be at least 18 years old to access the LMS. By using the LMS, you represent and warrant that you have the legal authority to enter into these Terms and that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
All LMS content is provided for educational and informational purposes only. The LMS is intended to support learning related to government contracting, business development, compliance concepts, and operational best practices. We do not guarantee contract awards, certifications, revenue, business success, or specific outcomes. Government contracting results depend on numerous factors outside our control, including agency discretion, competition, compliance, and market conditions. Nothing in the LMS constitutes legal advice, procurement advice, financial advice, or official government guidance. You are solely responsible for how you apply the information provided.
Certain content within the LMS may be generated, assisted, or enhanced using artificial intelligence (“AI”) tools. AI-generated content is provided for educational and informational purposes only and may contain inaccuracies, omissions, or outdated information. While we make reasonable efforts to review and curate LMS materials, we do not guarantee the accuracy, completeness, or applicability of AI-generated content to your specific situation. Users are responsible for independently verifying information against current regulations, statutes, agency guidance, and authoritative sources, including but not limited to the Federal Acquisition Regulation (FAR), DFARS, and applicable state or local procurement rules. Reliance on AI-generated content is at your own risk.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use LMS content for your personal or internal business use only. You may not copy, reproduce, distribute, publish, resell, sublicense, share, display, record, or create derivative works from LMS content without our prior written consent. You may not use LMS content to create or support competing products or services. All LMS content, including videos, templates, worksheets, recordings, text, graphics, and branding, is the intellectual property of Duwel Dev, LLC unless otherwise stated.
You agree to use the LMS in a lawful manner and not to misuse, disrupt, or interfere with the LMS or its operation. You may not share login credentials, attempt to bypass access controls, upload malicious code, or engage in conduct that could harm the LMS, other users, or the Company. We reserve the right to suspend or terminate access for violations of these Terms.
If the LMS is offered on a paid or subscription basis, all fees are due in advance. Unless expressly stated otherwise in writing, all payments are non-refundable. Subscription plans may renew automatically on a monthly or annual basis unless canceled in accordance with stated cancellation terms. We reserve the right to suspend or terminate access for non-payment. Complimentary, promotional, or beta access may be modified or revoked at any time.
We strive to provide reliable access to the LMS but do not guarantee uninterrupted or error-free operation. We may update, modify, replace, or discontinue content, features, or the LMS itself at any time. We are not responsible for downtime, system interruptions, data loss, or changes to platform functionality.
The LMS may reference or link to third-party platforms, tools, or resources. We are not responsible for the availability, accuracy, or practices of third-party services, and your use of such services is at your own risk and subject to their terms.
The LMS is provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, our total liability arising out of or related to the LMS shall not exceed the amount you paid to access the LMS. We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost opportunities, or business interruption, even if advised of the possibility of such damages.
You agree to indemnify and hold harmless Duwel Dev, LLC from any claims, damages, losses, liabilities, costs, or expenses arising out of your use of the LMS, your violation of these Terms, or your misuse of LMS content.
We may suspend or terminate your access to the LMS at any time if you violate these Terms. Upon termination, your license to use LMS content immediately ends, and no refunds will be issued. Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through mediation or binding arbitration, at our discretion, prior to litigation.
We may update these Terms from time to time. Continued use of the LMS after any changes constitutes your acceptance of the revised Terms.
